Official Rules

This promotion is intended for play and participation in the State of Texas only, and shall be construed and evaluated according to the laws of the State of Texas and the United States.

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING.

1. TO ENTER: The TXU Energy Good for Texas Sweepstakes (the “Sweepstakes”) starts at 12:00:01 a.m. CT on August 26, 2008 and ends at 11:59:59 p.m. CT on November 5, 2008 (the "Promotion Period"). All persons who become new TXU Energy residential electric service customers during the Promotion Period will automatically receive one entry into the Sweepstakes.

In addition, current TXU Energy customers who take any of the following actions during the Promotion Period will automatically receive one entry into the Sweepstakes for each action taken:

• Current TXU Energy FlexProtect^SM residential customers in the Oncor Electric Delivery service territory who change to a different TXU Energy plan.
• Current TXU Energy Freedom Plan^SM residential customers outside of the Oncor Electric Delivery service territory who change to a different TXU Energy plan.
• Current TXU Energy customers who enroll in the TXU Energy Rewards+® program.
• Current TXU Energy customers who redeem TXU Energy Rewards+ Dollars for service or merchandise.
• Current TXU Energy customers who enroll in the TXU Energy Refer-a-Friend^SM program.
• Current TXU Energy customers who sign up for TXU Energy E-Bill.
• Current TXU Energy customers who sign up for TXU Energy Average Billing.

To enter the Sweepstakes without becoming a TXU Energy customer, changing your current TXU Energy plan, redeeming Rewards+ Dollars, or taking any of the other actions above, visit www.txu.com/goodfortexas during the Promotion Period and complete the online registration form. Online entries must be received by 11:59:59 p.m. CT on November 5, 2008. Limit one (1) entry per household per day from all methods of entry combined.

TXU Energy Retail Company LLC (“TXU Energy” or “Sponsor”) is not responsible for printing or typographical errors; incorrect or inaccurate registration information; late, lost, misdirected or incomplete entries; computer system or phone line errors, software / hardware malfunctions or other errors; or for failures or delays in transmissions that are human or technical in nature. By entering you agree to be bound by the terms of these Official Rules. Void outside Texas and where prohibited.

2. DRAWINGS AND PRIZES: One (1) Grand Prize winner will receive a 2009 Chevrolet Tahoe Hybrid. The Approximate Retail Value (ARV) of this prize is $47,018. One (1) First Prize winner will receive a 2 kW Solar PV Panel System (including installation) from Standard Renewable Energy. In the event that the First Prize winner lives in multifamily housing or lives in a home that has bona fide restrictions against installation of solar panels, then an alternative prize of other energy products offered by Standard Renewable Energy or a cash prize will be awarded. The ARV of the First Prize is $18,000. The Grand Prize winner is not eligible to win the First Prize, however Daily and Weekly Prize winners are eligible to win the Grand or First Prize. Six (6) Weekly Prize winners will receive a $575 Gift Card from Lowe’s. Five (5) Weekly Prize winners will receive a $500 Bill Credit from TXU Energy. Seventy-two (72) Daily Prize winners will receive a 10 Pack of Compact Fluorescent Light Bulbs with an ARV of $19.95 each. The total ARV of all prizes is $72,404.

Winners will be selected by random drawings conducted on or about December 8, 2008, by Prism Marketing, whose decision is final in all matters. Daily and Weekly Drawings will be conducted from the pool of eligible entries received for each respective day or week of the sweepstakes and winning entries from one Daily or Weekly drawing will not be included in subsequent Daily or Weekly Drawings. Odds of winning depend on the number of eligible entries received for each drawing. Limit one prize per person / household.

Potential winners of the Grand Prize, First Prize, and weekly prizes will be notified by telephone or email within approximately five business days of conclusion of the Sweepstakes drawing. These potential winners will be required to sign and return an affidavit of eligibility and a liability / publicity release to receive their prize, or prize will be forfeited and Sponsor may select an alternate winner. Daily Prize winners will be automatically shipped their prize.

Grand Prize vehicle will be delivered with standard base model package. Grand Prize winner is solely responsible for any expenses in connection with the vehicle not expressly described herein as being awarded including, without limitation, the following: (i) all taxes, including but not limited to income, federal, state and local taxes; (ii) vehicle sales tax, title and license; (iv) insurance, registration fees, delivery charges, dealer preparation fee and/or additional options, additions or equipment; and (v) any additional expenses not described herein as being awarded. The winner must have a valid U.S. driver’s license and proof of insurance to take delivery. Manufacturer’s standard limited warranty applies to the Grand Prize vehicle. Winner must take delivery of vehicle at a time, place and date to be determined by Sponsor and may be required to execute additional release(s) required by Sponsor. Vehicle includes standard features; any additional options are winner’s responsibility. Vehicle prize color subject to availability. Any vehicle displayed or pictured in promotional/advertising materials may not be the actual vehicle awarded.

Weekly Prize winners of the bill credit must live within a deregulated electricity market area within Texas where TXU Energy provides service, meet TXU Energy customer eligibility requirements, and enroll on a TXU Energy service plan if not a current TXU Energy customer. Bill credit winners are responsible to their existing providers for their current residential electricity service. Bill credit may not be transferred to other retail electric providers or other third parties, have no cash value, and will be applied to the winners’ TXU Energy account(s). If TXU Energy must be retained as the retail electric provider in order for a winner to receive the bill credit, any and all TXU Energy enrollment requirements must also be met for customer to receive the bill credit and bill credit winner will be solely responsible for any fees charged by a third party as a result of the switch to TXU Energy. If any deposit is required to enroll, the bill credit may be applied to satisfy the deposit. Bill credit winners are under no obligation to retain TXU Energy as their retail electric provider and will be eligible to select a new retail electric provider at any time, with no penalty from TXU Energy except the forfeiture of any unused bill credit amount and early cancellation fees, if applicable; unused bill credits may be applied to any applicable early cancellation fees but cannot be transferred to another retail electric provider. If a bill credit winner fails to notify TXU Energy of the TXU Energy account the bill credit is to be applied to within 60 days after the date of the drawing, the bill credit will be forfeited. If a bill credit winner’s TXU Energy account is terminated before the bill credit is depleted, any remaining unused bill credit amount will be forfeited and not be reimbursed. Bill credit winners agree that all claims arising from or related to the electricity or other service paid for with the bill credit will be subject to the terms of service agreement under which the electricity is provided.

Prizes may not be substituted, transferred or redeemed for cash except at the sole discretion of Sponsor. In case of unavailability, Sponsor reserves the right to substitute a prize of equal or greater value. Neither Sponsor nor its directors, employees, or agents, have made nor are in any manner responsible for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize, including but not limited to its quality, mechanical condition or fitness for a particular purpose. Any and all warranties and/or guarantees on a prize (if any) are subject to the respective manufacturers’ terms therefore, and winners agree to look solely to such manufacturers for any such warranty and/or guarantee.

3. ELIGIBILITY: Sweepstakes is open to legal residents of the State of Texas 18 years of age and older as of August 26, 2008. Employees, officers, directors, agents, vendors and representatives of Sponsor and each of their parent companies, respective subsidiaries, affiliates and advertising / promotion agencies involved with this promotion (the “Sweepstakes Parties”) and the immediate families (spouse, siblings, parents, children and their respective spouses) and household members of such persons are not eligible to win.

4. RELEASE: All Sweepstakes participants and/or winners, on behalf of themselves, their executors, heirs and assigns, by acceptance of any offer or prize received under or in connection with this Sweepstakes, agree to release the Sweepstakes Parties from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses of any kind to persons or property which may be sustained in connection with the conduct, promotion or outcome of the Sweepstakes; receipt, ownership or use or misuse of any prize; or while preparing for, participating in or traveling to and/or from any prize-related activity in connection with the Sweepstakes or otherwise. Under no circumstances will Sponsor or the Sweepstakes Parties be liable for punitive, incidental, consequential, or any other damages. Notwithstanding the foregoing, winners are not waiving or releasing any right under any applicable rules or regulations of the Public Utility Commission of Texas governing retail electric providers.

Acceptance of prize constitutes permission for Sweepstakes Parties to use winner’s name, photograph or likeness for purposes of advertising and promotion for Sponsor in any and all forms of media without further compensation, except where prohibited by law.

5. GENERAL: Sponsor reserves the right, in its sole discretion, to cancel or suspend the Sweepstakes or any portion thereof should a virus, bug, malicious tampering, or other cause beyond the control of Sponsor corrupt the administration or proper play of the game. In the event of cancellation, Sponsor will award prizes in a random manner to be determined by Sponsor.

Sponsor reserves the right, at its sole discretion, to disqualify anyone found to be tampering with the entry process or the operation of the Sweepstakes or Website hosting the Sweepstakes, or to be acting in violation of the Official Rules, or to be acting in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten or harass any other person.

Electronic entries will be deemed made by the authorized account holder of the email address submitted at the time of entry. The authorized account holder is deemed as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address. In the event of a dispute as to the identity of an online entrant, prize will be awarded to the person listed as the primary account holder for the email address from which entry was received, pursuant to above, subject to eligibility requirements.

Sponsor may modify and amend these Official Rules as they appear online from time to time during the Promotion for clarification purposes without materially affecting the terms and conditions of the Promotion. Sponsor is not responsible for any typographical or printing errors in the advertising of any prize included in the Sweepstakes or the Official Rules, Web Site pages or other promotional materials.

6. CHOICE OF LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Texas, without regard for conflicts of law doctrine, and all proceedings shall take place in Dallas County, Texas.

7. WINNER LIST: To obtain the names of the winners, send a self-addressed, stamped envelope to TXU Energy Good for Texas Sweepstakes Winners, P.O. Box 585, Coppell, Texas 75019 by December 31, 2008.

8. DATA COLLECTION: Sponsor will be collecting personal data about participants when they enter the Sweepstakes. Please review Sponsor’s privacy policy statement at www.txu.com. By participating in the Sweepstakes, entrants hereby agree to all of the terms and conditions of the privacy statement of the Sponsor. If you do not wish to receive future sweepstakes or contest mailings from TXU Energy, please send a written request to us at P.O. Box 660605, Dallas, TX 75266-0605, with your name and address, and we will remove your address from future sweepstakes/contests mailings within 60 days.
